Terms of Service

1. Acceptance of Terms

By creating an account and using Easy Ledger AI ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including accounting professionals, CPA firms, and their representatives.

2. Description of Service

Easy Ledger AI is a cloud-based bookkeeping platform that provides AI-assisted transaction categorization, QuickBooks integration via Web Connector (QBWC), and financial data management tools for CPA firms and accounting professionals. The Service operates on a credit-based billing model at $0.02 per credit.

3. Account Registration

You must provide accurate and complete information when registering. You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately of any unauthorized use of your account. We reserve the right to terminate accounts that provide false information or violate these Terms.

4. Trial Credits and Billing

New accounts receive 500 complimentary trial credits upon registration. Trial credits do not expire but cannot be transferred or refunded. Additional credits may be purchased through the platform. Credits are consumed at a rate of 1 credit per AI-categorized transaction (rules-based categorization also consumes 1 credit). Credits are non-refundable once used.

5. Data and Privacy

You retain ownership of all financial data you upload or sync to the Service. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service. We do not sell your data to third parties. Your data is encrypted at rest and in transit. See our Privacy Policy for full details.

6. Professional Responsibility

Easy Ledger AI is a tool to assist accounting professionals. The Service does not replace professional judgment. You remain solely responsible for the accuracy of financial records, tax filings, and any professional services provided to your clients. AI-generated categorizations must be reviewed and approved by a qualified professional before use.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Attempt to reverse engineer, decompile, or access source code of the Service
• Share account credentials with unauthorized parties
• Upload malicious files, scripts, or content
• Interfere with or disrupt the integrity or performance of the Service
• Use automated tools to scrape or extract data beyond your own account data

8. Intellectual Property

The Service, including its AI models, user interface, and underlying technology, is the intellectual property of Easy Ledger AI. You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription. Nothing in these Terms transfers any intellectual property rights to you.

9. Service Availability

We strive for high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance and will make reasonable efforts to minimize disruption. We are not liable for losses resulting from downtime, data loss, or service interruptions beyond our reasonable control.

10. Limitation of Liability

To the maximum extent permitted by law, Easy Ledger AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business, arising from your use of or inability to use the Service. Our total liability to you for any claim shall not exceed the amount you paid for the Service in the three months preceding the claim.

11. Termination

Either party may terminate the account at any time. Upon termination, your access to the Service will cease. We will retain your data for 30 days after termination, after which it may be permanently deleted. Unused credits are non-refundable upon termination.

12. Changes to Terms

We may update these Terms from time to time. We will notify registered users of material changes via email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Los Angeles County, California.
